These Terms govern access to and use of the Peacock Global Trading (“PGT”) website.

1. Purpose

The website provides information concerning PGT, commodity markets, Global Marketing Partnership activities and methods of contacting PGT. Content is primarily for general business and informational purposes.

2. Nature of PGT's Activities

PGT operates primarily as a physical commodity brokerage and market-development business and may introduce or facilitate communications between producers, suppliers, trading companies, buyers and other participants. Unless expressly agreed in writing, PGT should not be assumed to own or produce commodities, be the buyer or seller, a bank, insurer, carrier, inspection company, professional adviser or guarantor.

3. No Offer or Commitment

Nothing on the website constitutes a binding offer to buy or sell commodities. Information is indicative unless confirmed through transaction-specific documentation.

4. Product Information

Specifications and availability may vary between producers, origins, cargoes and transactions. References to commodity grades do not represent permanent availability or ownership by PGT.

5. Enquiries

General, GMP and Product enquiries do not oblige PGT to accept, process or facilitate a transaction.

6. User Responsibilities

Users must provide information that is accurate to the best of their knowledge and must not submit fraudulent documents, false identities, unauthorized offers, misleading mandates or information intended to circumvent applicable requirements.

7. Compliance

International transactions may be subject to sanctions, AML, anti-bribery, export controls, customs and trade restrictions. Each participant remains responsible for compliance with laws applicable to it and the transaction.

8. Counterparty Due Diligence

Any preliminary qualification by PGT does not replace independent due diligence by the transaction parties.

9. No Guarantee of Counterparties

An introduction by PGT is not a warranty, certification, endorsement or guarantee of a counterparty's identity, creditworthiness, authority, performance, banking capability or ability to complete a transaction.

10. Intellectual Property

Unless otherwise stated, original website content, branding and proprietary materials are owned by or licensed to PGT. Third-party trademarks remain the property of their owners.

11. Acceptable Use

Users must not engage in fraud, unlawful access, malicious activity, impersonation, unlawful harvesting or misuse of PGT's name or materials.

12. External Links

PGT is not responsible for external content, services, security or availability.

13. Website Availability

PGT may modify, suspend or discontinue website functionality without prior notice.

14. Limitation of Liability

To the extent permitted by applicable law, PGT will not be liable solely as a result of reliance upon general website information for indirect, incidental or consequential losses. Transaction-specific liabilities, if any, are governed by applicable definitive agreements.

15. Indemnity

To the extent permitted by applicable law, users may be responsible for losses or claims arising from fraudulent, unlawful or unauthorized use of the website or material breach of these Terms.

16. Governing Law and Jurisdiction

The governing law, jurisdiction and, where applicable, dispute resolution mechanism for each transaction or commercial relationship shall be determined by the relevant contract or agreement entered into between the applicable parties.

As PGT facilitates relationships across multiple international markets, each transaction may be governed by a different jurisdiction, as mutually agreed between the relevant Buyer, Seller, Broker and/or other contracting parties.

Each contractual relationship shall be treated independently, and the governing law and jurisdiction specified in the applicable definitive agreement shall prevail in relation to that transaction or relationship.

17. Changes

PGT may update these Terms periodically. Continued website use following publication is subject to the updated Terms to the extent permitted by applicable law.
